Sales and trading terms

1. Orders, offers and confirmation of orders

a. LLP International’s quotations er valid for a period of 10 days from the date of issue, unless otherwise stated. Acceptance of quotations received by LLP International after the deadline is not binding for LLP International unless otherwise agreed upon with the customer.

b. Only orders confirmed in writing are binding for LLP International. c. Should oral agreements about changes in the specification of orders of products or parts be made, then LLP International must ensure written confirmation in order for the agreement to be valid.

d. LLP International reserve the right to changes in the specifications of an order without warning, if this can take place without disadvantage for the customer.

e. LLP International will endeavour to send confirmation or refusal of orders for products, spare parts or other relevant services for the customer 5 working days at the latest after receiving the order. Confirmation or refusal of orders must be in writing in order to be binding for LLP International.

f. The customer cannot make changes in an order which has been placed for products, spare parts or other relevant services without LLP International’s acceptance.

g. If LLP International’s confirmation of an order for products, spare parts or other relevant services are not in accordance with the customer’s order or agreement and the customer does not wish to accept these conditions, then the customer must inform LLP International in writing 5 working days at the latest after receiving confirmation of the order. Otherwise the customer is bound by the confirmation of the order.

2. Prices

a. Prices for products, spare parts and relevant services are in accordance with LLP International’s current price list at the time when LLP International confirm the customer’s order, unless otherwise agreed upon in writing.

b. All prices are without VAT. LLP International retain the right to adjust prices on the date of delivery in the event of increased charges for materials, labour costs, loss on exchange rates, fees, other costs, taxes and customs import duty etc.

3. Assembly

a. The costs of assembly and installation will be charged at the current rates of labour costs for assembly workers.

4. Conditions of payment

a. If the customer fails to pay a receipt on time for products, spare parts or other relevant services for reasons outside the control of LLP International, then LLP International retains the right to charge 2 % in interest monthly for the amount due, from the date of the time of payment until the amount due is paid.

b. In the event of custom built products, spare parts or other relevant services the conditions of payment will be as follows: 60 % of the cost must be paid at the time of confirmation of the order, 30 % on delivery and 10 % on acceptance.

5. Delivery

a. LLP International deliver all sold products, spare parts and relevant services according to the time specified in the confirmation of the order. LLP International reserves the right to deliver before the agreed date, unless otherwise agreed upon.

b. The customer is obliged to examine all products, spare parts or other relevant services upon delivery. Should the customer find defects or other deficiencies then the customer must inform LLP International in writing. If the customer fails to inform LLP International in writing of any defects or deficiencies which the customer has found, or should have found, then LLP International will not be held responsible.

c. The keeping and storage of products, spare parts or other relevant services are at the customer’s risk. The customer must store the delivered products, spare parts or other relevant services in a suitable way and protect items against damage. The customer is obliged to insure the delivered wares against storm, fire and water damages for at least the purchase price from the time of delivery and until the purchase price has been paid.

6. Returned wares

a. Wares will only be returned in accordance with a written agreement.

7. Responsibility for products

a. LLP International are in no way responsible for the loss of profits or earnings, or other indirect losses.

b. After the risk for the purchased item has been transferred to the purchaser, the seller is in no way responsible for loss of profits or other indirect losses owing to delays or defects pertaining to the sold items.

c. The following circumstances entail freedom from responsibility for the seller, inasmuch as the circumstances prevent fulfilling the agreement or causing onerous restrictions: labour conflicts, and all circumstances which are beyond the control of the parties concerned, e.g. fire, restrictions on currency, force majeure, civil uprising, unavailability of transport, unavailability of wares and raw supplies, restrictions on motive power as well as delays or deficiencies in supplies from the seller’s supplier or subcontractor.

8. Complaints

a. Complaints must be received immediately after possible defects or other deficiencies are found. Complaints must be made in writing and contain a description of how the defects manifest themselves.

9. Presentation and Exhibition

a. The supplied wares must not be exhibited publicly, including exhibitions and trade fairs, without the consent of LLP International.

10. Venues

a. Trade between parties is in every respect placed under Danish law.

b. Any dispute which may arise in connection with trade between the parties will be dealt with by a Danish court of law.
